Emilie Scientific, Inc. (“Emilie” “us” or “we”) is committed to protecting the privacy of your Personal Information. Through our “Emilie Scientific” platform (the “Platform”) and the website located at emiliescientific.com and any successor site (the “Site”), Emilie provides you with a digital communication platform to help individuals discover, learn about, prequalify for, and provide electronic consent to clinical trials. This Privacy Policy describes how we collect, use and disclose information through the Platform, Site and related services (collectively, the “Services”).

1. INTENDED USERS The Services are not intended for use by any individual under the age of 18 or individuals who reside outside the United States or Puerto Rico. Emilie does not knowingly collect or solicit Personal Information from anyone under the age of 13 or knowingly allow such persons to register on the Services. If we learn that we have collected Personal Information from anyone under the age of 13, we will use commercially reasonable efforts to delete that information.

If you are the parent or guardian of a minor child who has provided us with Personal Information, you may contact us using the information below to request it be deleted. Emilie is not a health care provider or insurance provider and the Services do not provide health care services of any type.

2. INFORMATION WE COLLECT Information We Collect From You

When you access the Platform, we may collect certain medical, health, behavioral, or other information in connection with your prescreening questionnaire. Once you have qualified to use the Services, you may register with the Services, at which point we may we collect certain personally identifiable information about you (“Personal Information”), including your name, email address, address, phone number, date of birth, and identification card information. Personal Information also includes the personal medical information which you choose to provide to us in your prescreening questionnaire or to otherwise use the Services.

Information We Collect Automatically We may collect certain information when you use the Services, including the following:

  • Use of the Platform. When you use the Platform, we may collect certain information about such use, including the location of your mobile device, your mobile device ID, type of device and operating system you use to access our Platform; your activities within the Platform; and the length of time that you are logged in through the Platform.
  • Unique Identifiers. We may collect certain information through unique identifiers such as IP address when you are using the Services.
  • Cookies. We may use “cookies” and other technologies to collect data that enable us to better understand and improve the usability, performance and effectiveness of our Services. For instance, we may use session cookies (which expire once you close your browser) or persistent cookies (which stay on your mobile device until you delete them) to provide you with a more personal and interactive experience on our Platform.
  • Third-Party Analytics. We use third parties’ analytic and tracking tools (including, but not limited to, Google Analytics, Google Optimize and Google Tag Manager) to better understand who is using the Services, how people are using the Services and how to improve the effectiveness of the Services and its content, and to help those parties serve more targeted advertising to you across the Internet or help us serve more targeted advertising to you. Those third party companies may use cookies, pixel tags or other technologies to collect and store anonymous information such as time of visit, pages visited, time spent using the Services, device identifiers, type of operating system used and other website(s) you may have visited. They might combine information they collect from your interaction with the Services with Personal Information they collect from other sources. We do not have access to, nor control over, third parties’ use of cookies or other tracking technologies.
  • Geo-Location. We do not collect any information regarding your real-time geo-location while using the Services. We may, however, do so at some point in the future. We will request your permission before collecting such information.
  • DNT. Do Not Track (DNT) is a privacy preference that users can set in some web browsers, allowing users to opt out of tracking by websites and online services. Emilie and the Services do not recognize DNT.

3. HOW WE USE YOUR INFORMATION Emilie may use your information for the following purposes:

  • To provide you with the Services including, but not limited to, evaluating eligibility for clinical trials and recruitment into such clinical trials.
  • To communicate with you with respect to potential recruitment for, and participation in, clinical trials.
  • To communicate with you about your registration or transactions with us and send you information about features of the Services or changes to our policies.
  • To personalize content and experiences and advertising.
  • To detect, investigate and prevent activities that may violate our policies or be illegal.
  • To optimize or improve the content, products, services, and features of the Services.
  • To personalize and improve the Services and user experiences, to increase the functionality and user friendliness of the Services, to deliver content or features that match user profiles or interests.
  • To monitor and analyze the Services usage and trends and otherwise measure the effectiveness of the Services.

4. HOW WE SHARE YOUR INFORMATION We will not share your Personal Information with third parties except as described in this Privacy Policy. We may share your Personal Information:

  • When you allow us to share your Personal Information with another company, such as directing us to share your Personal Information with third-party sites or platforms.
  • When we contract or partner with a third party to provide services on our behalf, including verification of your identification card information, processing of your electronic consent, and to assist us in the development, operation and maintenance of the Services.
  • When we share Personal Information with third parties in connection with the sale of a business (including merger, acquisition, or sale of all or a material portion of our assets, change in corporate control, or insolvency or bankruptcy proceedings), to enforce our Terms of Service or rules, to ensure the safety and security of our users and third parties, to protect our rights and property and the rights and property of our users and third parties, to comply with legal process, including judicial warrant, rule, order or subpoena or in other cases if we believe in good faith that disclosure is required by law or regulation.

In addition, we may share aggregate or de-identified information with third parties on an anonymized basis. Aggregate or de-identified information is data we collect about a group of users, from which individual identities have been removed. In other words, information about how you use the Service, or the results of such use, may be collected and combined with similar information from others, but no Personal Information will be included in the resulting aggregate or de-identified data. Aggregate or de-identified data helps us understand trends and user needs so that we can better consider new products and services, and tailor existing products and services to customer desires. You understand that we may commercialize aggregate or de-identified information by any and all means, and that you will receive no payment or other consideration in respect of such use.

5. YOUR CONTROLS AND CHOICES You may exercise certain controls and choices regarding our collection, use and sharing of your information, or request access to your Personal Information, by contacting us at admin@emiliescientific.com or following instructions provided in communications sent to you. Please be aware that if you do not allow us to collect Personal Information from you, we may not be able to deliver certain products and services to you, and some of our services may not be able to take account of your interests and preferences. When you access the Platform, you may be asked whether you will allow us to access your location while you are not using the Platform and/or whether you would like to receive notifications on your mobile device. If you choose to “allow” this, but then would later like to opt-out, you may do so by updating the privacy settings on your mobile device.

6. THIRD PARTY WEBSITES / LINKS Our Services may contain links to other sites operated by third parties. Emilie does not control such other sites and is not responsible for their content, their privacy policies, or their use of Personal Information. Emilie’s inclusion of such links does not, by itself, imply any endorsement of the content on such sites or of their owners or operators except as disclosed on the Services. Emilie expressly disclaims any and all liability for the actions of third parties, including but without limitation to actions relating to the use and/or disclosure of Personal Information by third parties. Any information submitted by you directly to these third parties is subject to that third party’s privacy policy.

7. DATA SECURITY, INTEGRITY AND RETENTION The security, integrity and confidentiality of your information are important to us. We have implemented technical, administrative, and physical security measures that are designed to protect user information from unauthorized access, disclosure, use and, modification. From time to time, we review our security procedures to consider appropriate new technology and methods. Please be aware though that, despite our best efforts, no security measures are perfect or impenetrable; for example, we cannot guarantee that information provided through our sites will not be illegally accessed on our servers or intercepted while being transmitted to us over the internet. If you believe there has been any breach of security of our sites, please email us. We will retain your Personal Information for the length of time needed to fulfill the purposes outlined in this Privacy Policy unless a longer retention period is required, or for the establishment, exercise or defense of legal claims, or for legitimate businesses purposes, or as provided by law.

8. CHANGES TO THIS PRIVACY POLICY We may update this Privacy Policy to reflect changes to our information practices. If we make any material changes we will notify you by email (sent to the e-mail address specified in your registration information) or by means of a notice on the Platform prior to the change becoming effective, and by updating the Last Revised date at the top of this Privacy Policy. We encourage you to periodically review this page for the latest information on our privacy practices.

9. INDIVIDUAL CALIFORNIA RESIDENTS California Civil Code Section § 1798.83 permits users that are California residents to request certain information regarding our disclosure of Personal Information to third parties for their direct marketing purposes. To make such a request, you may contact us by e-mail at admin@emiliescientific.com. USERS OUTSIDE THE UNITED STATES The Services and the servers upon which the Services are hosted are located in the United States and are intended only to be used by individuals in the United States or Puerto Rico. If you do not reside in the United States or Puerto Rico, you are not authorized to use the Services.

10. DISPUTE RESOLUTION Any questions or concerns regarding the use or disclosure of Personal Information should be directed to Emilie at admin@emiliescientific.com. Emilie will investigate and attempt to resolve complaints and disputes regarding use and disclosure of Personal Information in accordance with the principles contained in this Privacy Policy.

If Emilie is unable to resolve your complaint, you can escalate the issue in accordance with the dispute resolution procedure set out in the “Arbitration and Class Action Waiver” section of the Terms of Service.
